   OverviewThis assignment will give you the opportunity to choose a case study, and then write about the ethical implications and the impact of the events that are described. Each case study includes a set of questions that you should answer. You can choose either Case Study 9.1: Unprofessional Conduct, or Case Study 8.4: Have Gun Will Travel. 

   You will be graded on the following criteria:

   Write a four to six (4-6) page paper in which you:

   1. Analyze the questions associated with your chosen case study and discuss them using concepts you learned in this course.
   2. Explain your rationale for each of your answers to your chosen case study.
   3. Format your assignment according to the following formatting requirements: 
      1. Typed, double spaced, using Times New Roman font (size 12), with one-inch margins on all sides.
      2. Include a cover page containing the title of the assignment, the student’s name, the professor’s name, the course title, and the date. The cover page is not included in the required page length.
      3. Cite your textbook as a reference.
      4. Include a reference page. Citations and references must follow APA format. The reference page is not included in the required page length.

   The specific course learning outcomes associated with this assignment are:

   Choose one (1) of the following case studies for Assignment 2:

   Case 9.1: Unprofessional Conduct?Located on page 342 of your textbook

   1. Do you believe the Board of Education violated her right to privacy? Were they justified in firing her? Explain two to three (2-3) major reasons why or why not.
   2. Was Pettit’s behavior unprofessional or immoral? Do you believe she was unfit to teach? Provide a rationale for your position.
   3. If teachers have good performance inside the classroom, should they also be held to a higher moral standard outside the classroom? Explain why or why not. 
   4. Analyze five (5) behaviors you believe would show unprofessional or immoral conduct for a teacher.

   Case 8.4: Have Gun, Will Travel…to WorkLocated on page 312 of your textbook

   1. Do you have not only a legal, but a moral right to own a gun? Do you believe that you have either a moral or a legal right to park a car with a loaded gun in a privately owned parking lot, regardless of what the lot’s owner wants?
   2. In your view, do employees have either a moral or a legal right to park cars with guns in them in the company parking lot? What do you believe should be the property rights and safety concerns of employers?
   3. Do you think state legislatures are right to get involved, or should the matter be left to companies and employees to settle? 
   4. Because the workplace is the company’s private property, the company could choose to allow employees to bring guns not only into the parking lot, but also into the workplace itself. Are there ever circumstances in which doing so might be reasonable? Or would the presence of guns automatically violate the rights of other employees to be guaranteed a safe working environment?

This is a make-or-break project for us at this point,” says Jim. “We have to get it right the first time. If we miss any stakeholders in our communication, it could be divesting to the success of the project.” 

Jim turns to you. “I need you to lead the team in conducting a stakeholder analysis. Mike Green, a technician who previously worked in the public relations and marketing department says, “I have done a lot of hands-on electrical work and testing. I earned my MBA in marketing and two undergraduate degrees in electrical engineering and IT management. I have been with the company for 5 years.”

After Jim leaves, you and the rest of the team get busy discussing how to conduct a stakeholder analysis and how to justify stakeholders’ inclusion in the project communication.

Back at your desk, you write the stakeholder analysis in an essay-style format using MS Word. Notes from your team discussion help you defend your position on the stakeholders’ inclusion. Your essay outlines who they are to the project; their roles, responsibilities, and positions at the company (internal or external); and their level of influence on the project.

After finishing the stakeholder analysis, you complete the first 2 pages of the project charter using the stakeholder information that was shared in the previous meeting and from the stakeholder analysis. You revise and reformat it as needed.

On January 1, 2002, John, Mary and Susan decided to organize an LLC (taxed, for federal tax purposes, as a partnership). John contributed $ 100,000 in cash in exchange for a 25% interest in the LLC. Mary contributed $ 50,000 in cash and accounts receivables with a basis of 0$ and a fair market value of $ 50,000 in exchange for a 25% interest in the LLC. Susan contributed $100,000 in cash and a capital asset having a basis of $60,000 and a fair market value of $100,000 in exchange for a 50% interest in the LLC.

The LLC had income from operations of $80,000 during the 2002 tax year. However, no distributions were made to John, Mary or Susan during 2012. The LLC had a loss from operations of $40,000 during the 2003 tax year. Again, no distributions were made during 2003. During 2003, the LLC acquired a building for $ 100,000 paying $40,000 in cash and obtaining a non-recourse loan to finance the remaining purchase price ($60,000) (the “Building Loan”). The lender for the Building Loan secured its loan with a mortgage on the building.

On January, 1, 2004, the LLC paid off the Building Loan and the mortgage on the building was released. On January 2, 2004, John sold his interest in the LLC to Therese for $110,000. At the time of the purchase and sale of John’s interests, the LLC had a valid IRC Code Section 754 election in Place with the IRS. The LLC has income from operations of $160,000 during the 2004 tax year. Again, no distributions were made to Mary, Susan or Therese during the 2004 tax year.

On January 1, 2005, the LLC sold the accounts receivables for $50,000 in cash and the building for $120,000 to separate third parties and dissolved. Upon the dissolution, the LLC distributed the capital asset to Mary. All other liquidation distributions are made in cash payments to the LLC members in accordance with the LLC’s operating agreement, which contains the following provisions:

1.  Capital accounts. The LLC will maintain capital accounts pursuant to the provisions of Treas. Reg. § 1.704-1 (b) (2) (iv), as required by Treas. Reg.  § 1.704-1(b)(2)(ii)(b)(1).

2.  Liquidation. Upon liquidation of the LLC, liquidating distributions will be made according to the positive capital account balances of the members, as determined after taking into account all capital account adjustments for the LLC taxable year during which such liquidation occurs, by (i) the end of such taxable year, or (ii) within 90 days after the date of such liquidation.

3.  Additional Capital Contributions Required. Each member shall be obligated to make up any deficit account balance existing at the end of any year or upon liquidation of the LLC.

Assume that (i) no cash distributions were made to any member, except as provided herein, (ii) all income and loss generated during the years of operation resulted from cash transactions, (iii) no depreciation occurred on the capital asset for any year and the fair market value of the asset remained the same at all times, and (iv) the agreement among the members of the LLC also include language that all allocation of income and loss were to be in accordance with the respective interests of the LLC members.

Discuss, in detail, the implications to all parties (inclusive of the LLC) of each transaction identified above, including the impact on each member’s basis in his LLC interest and his capital account at the end of each year.
