Background: Contracts are essential for business, and will be an integral part of GC operations, so the owners now want to focus on contract law. Each of the owners has experience with contracts in their own businesses, and appreciate the probable risks and liabilities associated with contracts. They also know that to avoid possible disputes with employees and clients, contracts should be comprehensive, clear and specific.

The GC owners know that there are various types of contract agreements relevant to their business. GC will have individual contracts with employees, independent contractors, and other agents who will represent the company. Also, GC will engage in sales contracts with other businesses, consumers and clients. Furthermore, GC will use electronic contracts, or e-contracts, in conducting online business transactions.

To reduce disputes and risks and liabilities associated with contracts, the owners want all contracts to be written, with specific, complete, and clear terms. Contracts must define rights and responsibilities of the parties. Also, since employees and/or independent contractors will be performing cleaning services on clients’ properties, these contracts should require bonding <https://www.entrepreneur.com/encyclopedia/bonding> for all employees.

You, Winnie and Ralph presented draft contracts for GC employees, including different contracts for cleaners, office managers, marketing specialists, sales representatives, and IT employees. 

The GC owners reviewed the drafts and have some questions about the contracts.

Instructions: This is an application-oriented Learning Activity. You will not find verbatim answers anywhere. Engage in critical thinking and review this week’s assigned readings. You may also need to review previously assigned materials in weeks 2 and 3. 

At Winnie’s and Ralph’s request, it is your responsibility to research and provide answers to the GC owners’ questions.

The first questions you need to address relate to the GC cleaner-employee contract.

The cleaner-employee contract specifies the following terms and conditions:

* specific duties to be performed by cleaner-employee

* salary for cleaner-employee

* work hours

* terms of payment for overtime or holiday work, if any

* sick leave

* vacation leave

* training requirements for cleaner-employee

* length of contract

* bonding for cleaner-employee 

* periodic performance evaluation and how it will be conducted

* termination of contract, i.e., notice of termination, etc. 

1. Consider the contract term: “training requirements for cleaner-employee”.

Analyze and discuss several reasons – from the GC owners’ perspective – why it is important to include specific terms and conditions describing training requirements in the cleaner-employee contracts. Focus on how/why these contact terms can protect GC from tort liability.

2. Consider the contracts between GC and its clients. Identify at least one (1) contract term – other than price – that should be included in a GC contract with a client for GC to provide office cleaning. 

Analyze and discuss why it is important to include this additional term in the GC-client cleaning contract.

1. Statute of Frauds – “writing” requirement

Background: Generally, contracts for the sale of goods must be in writing, and the writing must be signed by the parties to the agreement, and the parties must be sufficiently identified. GC will be selling goods via the internet; the owners are wondering whether these electronic contracts are valid and enforceable.

Hypothetical Scenario: Company X, a company in Illinois, contracted via the internet with Windows Bright, a small window washing business in Missouri to purchase 4 cases of Shiny Lite window cleaning solution at $200 per case. Company X paid via the internet with a company credit card. The contract stated that the 4 cases of Shiny Lite would be shipped to Company X’s place of business in Illinois via UPS. 

1.  Explain why the contract between X and Windows Bright is subject to the Statute of Frauds.

2. Will the internet electronic contract between X and Windows Bright satisfy the “writing” requirements for the Statute of Frauds? If so, how and why? Support your conclusion by referring to the specific UCC rule that applies.

2. Discharge of a contract

Background: There are several reasons for which a contract can be discharged before performance under the agreement. Under common law and the UCC (Uniform Commercial Code, Section 2-615), for example, a contract may possibly be discharged because of commercial impracticability when performance could be completed only with extreme difficulty, or at unreasonable expense, or would have little practical value. Courts are relatively flexible on this matter.

A contract can also be discharged because of “impossibility” when, because of some unforeseen event or contingency that occurs after a contract is formed, it becomes impossible to perform the contract. Under the common law, impossibility applies to all contracts; under the UCC, impossibility applies only to contracts for the sale of goods.

A. Write a hypothetical fact scenario describing a contract for the sale of goods between GC and Barton Industries (a fictitious company) for which GC agrees to purchase 40 cases of floor cleaning solution from Barton’s. Write the scenario facts so that the contract should be discharged on the ground of impossibility.

Background: The GC owners are aware of the importance of contracts to both buy and sell goods and services. They are reviewing the Uniform Commercial Code (UCC), Article 2, that covers contracts for sales of goods.  

The GC owners understand that the terms in their purchase contracts (i.e., contracts to purchase products from EPI) will require very different terms from their sales contracts reselling these cleaning products purchased from EPI. 

First, the owners want to focus on understanding their rights and obligations associated with reselling EPI cleaning products.

Winnie and Ralph ask you to prepare information to help the GC understand risks and possible liabilities related to the resale of EPI cleaning goods to customers.

You develop a hypothetical scenario for analysis and explanation for discussion with the GC owners.

Hypothetical Scenario: Office Cleaning Pros (Pros), a local company, emailed GC that it wanted to purchase some cleaning products. 

The email stated the following sales details: 

* Pros wanted to purchase 6 cases of Carpet Re-New cleaning solution from GC

* the price is $200 per case of Carpet Re-New

* Delivery was to be on or before April 1, 2019

* Delivery was to be made to Pros storage warehouse facility

GC did not respond to the email, but on April 1, GC delivered 6 cases of cleaning solution products to Pros office headquarters, located next door to Pros’ storage warehouse facility. Pros accepted the delivery at its headquarters. 

Three days later, Pros inspected the 6 cases GC had delivered and discovered all 6 cases contained Floor Re-New cleaning solution, not Carpet Re-New as specified in the sales contract.

Instructions:

Background: GC owners recognize the importance of effective recruitment and hiring. They feel competent recruiting and hiring new GC management but want to hire an expert to recruit and hire employees to develop and manage their website and internal computer systems, and provide IT support. 

They agree to hire a recognized expert in this area, George Tacy, to act as GC’s agent in hiring computer/IT employees. The owners want to give full authority to Tacy to direct every aspect of recruitment and hiring of these employees, from the initial recruitment of applicants to the final hiring process. 

The GC owners want to ensure that their agreement with Tacy will include all important terms. They asked TLG to draft details for several terms to be included in a final contract to reflect their agreement with Tacy and the scope of his authority.

Instructions: Winnie and Ralph direct you to draft several terms that should be included in the agency contract between Tacy and GC. You are NOT TO WRITE A COMPLETE CONTRACT, merely detailed descriptions for several important contract terms.

The article titled Why Digital Ally Stock Is Up Today illustrates this situation. What is your stance on profits resulting from tragedy?

Research Proposal

1 List at least 10 variables that will be measured in your research. No more than two of these should be sociodemographic indicators such as race or age. The inclusion of each variable should be justified in terms of theory or prior research that suggests it would be an appropriate independent or dependent variable or will have some relation to either of these.

Initiating the Program Plan

The seventh stage of planned change—Initiating the Program or Policy  Plan—focuses on weaknesses of the first six stages of planned change. It  is critical for the planner to review the first six stages in order to  ensure a greater chance of success.

This week you will prepare a report in Microsoft Word reviewing the  implementation of your program or policy. You will then evaluate  outcomes. This report is to be presented to an audience that includes  members of the Center for Justice, the Mayor of Fictionland, and the  Chief of Police. The report should include the following elements:

Part I: Compilation of previous steps, with additional detail:

  • A summary of the problem-solving technique employed.
  • A list of two potential sources contributing to the problem. Also  argue why you believe these factors are responsible for the  community-police problem(s) in Fictionland.

Part II: Create measures for evaluation of the design and  objectives of your program or policy for the Fictionland Police  Department. Include the following points in your report:

  Project Scenario

Tensions between the minority community and the police are regrettable problems in the United States. One city, Fictionland, has experienced tremendous population growth and demographic changes in the past 50 years. The Fictionland Police Department has been criticized by a powerful citizen-based organization, Center for Justice, for engaging in illegal racial profiling tactics and for being generally unresponsive to complaints about police harassment and police brutality allegedly committed against members of the minority community. DetailsThe Fictionland Police Department in New Jersey was established in 1945 to deal with the community’s growing concern with traffic congestion and increasing crime rates. Fictionland’s population in 1945 was 5,000 and predominantly Caucasian. According to the latest census figures, Fictionland’s population is now 68,000 and racially diverse. Approximately 25 percent of the Fictionland population is a racial minority. The latest projections suggest that if this trend continues, at some point, Fictionland with be 51 percent white and 49 percent racial minority.The department had 14 full-time police officers on staff in 1945, and all were Caucasian. Today, the department has 60 full-time officers with only two minority officers on staff. Over the past five years, members of the Center for Justice have claimed that Fictionland police have harassed many minority citizens and, on several occasions, have engaged in acts of police brutality. In particular, the Center for Justice claimed that minorities have been the victims of racial profiling in traffic stops. Seventy-two members of the minority community have filed complaints to the Fictionland Police Department claiming that they have been pulled over without just cause. In each instance, Internal Affairs (IA) has investigated the complaints and found no wrongdoing. In one of the many incidents of racial profiling, last year a complaint was lodged against Officer Tim Smith, a fifteen-year veteran of the force, for racial profiling and police brutality against Antoine Jones, a prominent business owner. Again, IA Unit investigated the complaint and found no wrongdoing and took no action. Approximately two weeks after the IA handed down their decision on the complaint against Officer Tim Smith, a damaging videotape was leaked to the press from a whistle-blower in the Fictionland Police Department. The videotape showed Officer Tim Smith following Antoine Jones’  car. You could hear Officer Smith saying, “Homeboy in a Mercedes, must be a crack dealer.”  on the videotape prior to turning his siren on. Officer Smithapproached Mr. Jones and said, “Boy, give me your license and registration now!”  When Mr. Jones complied and handed the documents over, Officer Smith threw the license to the ground. Officer Smith ordered Mr. Jones to get out of his car and to pick up his license. Mr. Jones was deferential and complied with the order. The videotape clearly shows, without any provocation, Officer Smith pepper-spraying Mr. Jones in the face. Mr. Jones was handcuffed and taken into custody. The arrest report, prepared by Officer Smith, stated that Mr. Jones swung at Officer Smith and resisted arrest. Eight similar complaints against Officer Smith had been filed in the past. Each of the complaints was investigated, with IA Unit exonerating Officer Smith on each occasion.

War on Terrorism

Many commentators label the current “War on Terrorism” as a state of perpetual war. Many issues become apparent when a nation adopts a permanent war setting. Chapter 10 in your text explores many of the ethical issues associated with the War on Terrorism, and the video Treat Terrorists Like Enemy Combatants, Not Criminals: A Debate (Links to an external site.) debates the best methods to handle accused terrorists (Makio, 2010). In this discussion, discuss the morality and expectations for the criminal justice system to be engaged in such a “war.” How does this status of preparedness and aggressive interdiction affect the creation, design, and implementation of morality policies in the criminal justice field?

Guided Response: Examine the implications of a nation continually in a state or war. Do ethical systems become irrelevant in light of a consistent, aggressive foreign policy, or is the need for moral action and rules more imperative in such a culture?

Criminal

Disparity in the treatment of people accused of crimes in the United States is statistically undeniable. Chapter 4 in your text discusses the concept of institutionalized racism and the video Black Death in Dixie: Racism and the Death Penalty in the United States (Links to an external site.) explores the premise that the death penalty targets minorities (Nelson & King, 2007). In this discussion, examine the moral implications for the criminal justice system if disparities in searches, arrests, and incarceration sentences continue to be skewed due to race. Provide at least two moral strategies to help combat this current event issue.

Guided Response: Morality in criminal justice must be a function of treating all people equally. If this basic premise is true, what does it say about our criminal justice system if people of different races and ethnicities are treated differently? The common symbol for the law is a blindfolded woman holding a balanced scale of justice. Can we say, as a society and as a criminal justice profession that the law is truly blind to such issues in its application?
